Terms and Conditions

By submitting this Become A Vendor Partner Web Form, you acknowledge and agree to the following:

1.) Application Only - Submission of this form does not constitute approval as a vendor, create a contractual relationship, or guarantee the assignment of work. Vendor approval is solely at the discretion of SCSI. 2.) Accuracy of Information - You certify that all information provided is true, complete, and accurate to the best of your knowledge. You agree to promptly notify SCSI of any material changes to the information submitted. 3.) Verification - SCSI reserves the right to verify any information provided, including, but not limited to, business registration, licensing, insurance, certifications, references, financial information, and background information, to the extent permitted by applicable law. Vendors are required to provide complete copies of all applicable insurance policies, including all endorsements, upon request by SCSI. 4.) Additional Documentation - If selected for further consideration, you may be required to provide additional documentation, including insurance certificates, complete copies of applicable insurance policies and endorsements, licenses, tax forms, safety records, compliance documentation, banking information, and any other information deemed necessary by SCSI. 5.) No Obligation - SCSI is under no obligation to approve any applicant, assign work, or provide an explanation for declining an application. 6.) Independent Business - Submission of this application does not establish an employer-employee relationship, agency relationship, partnership, joint venture, or exclusive business arrangement. 7.) Confidential Information - Any proprietary or confidential information shared by SCSI during the onboarding process must be treated as confidential and may not be disclosed without prior written authorization. 8.) Compliance - If approved as a “Vendor”, the vendor agrees to comply with all applicable federal, state, and local laws, regulations, safety requirements, and SCSI vendor policies and procedures applicable to the vendor’s services. The vendor also agrees to comply with the terms and conditions of any separate contract, service schedule, purchase order, or other written agreement entered into with SCSI. SCSI may update its vendor policies, procedures, and requirements from time to time and will communicate any applicable changes to the vendor. 9.) Payment Terms - The payment terms applicable to vendors are established by SCSI and are not subject to negotiation or modification through this application. The required “Net Payment Terms” field is included as part of the application process; however, any information entered in this field does not constitute a proposal, request, acceptance, or modification of payment terms and does not create any right or expectation regarding payment terms. Submission of this application does not create, modify, or establish any payment terms. Payment terms applicable to the vendor shall be solely those established by SCSI and set forth in the applicable written agreement or other written documentation issued or approved by SCSI. 10.) Insurance and Licensing - Vendor approval is contingent upon the vendor providing and maintaining all documentation required by SCSI to qualify and remain an active vendor. This includes, but is not limited to, current licenses, certifications, permits, insurance coverage, tax forms, compliance documentation, and any other documentation required by SCSI or applicable law. Vendors are responsible for ensuring that all required documentation remains current and must provide updated documentation upon request by SCSI. Failure to provide or maintain required documentation may result in the vendor being placed on inactive status, having work assignments suspended, or having vendor approval revoked. 11.) Business Registration, Licensing, and Authorization - All vendors, including sole proprietors, must be properly registered, licensed, and authorized to conduct business in each state and local jurisdiction where they perform work. Prior to approval, the vendor or subcontractor must provide applicable Secretary of State registration, assumed-name or DBA registration, business licenses, tax identification information, and any required trade or occupational licenses. If a sole proprietorship is not required or eligible to register with the Secretary of State, it must provide documentation demonstrating compliance with all applicable state and local requirements. 12.) Electronic Communications - By submitting this application, you consent to receive electronic communications from SCSI regarding your application, vendor qualification, onboarding, compliance requirements, documentation requests, and other matters related to your vendor relationship with SCSI. 13.) Data Usage - Information submitted through this application may be collected, stored, and used by SCSI for purposes including vendor qualification, onboarding, compliance, communication, operational administration, and payment processing, in accordance with applicable law and SCSI’s applicable privacy practices. 14.) Reservation of Rights - SCSI reserves the right to modify its vendor qualification requirements, onboarding procedures, vendor policies, and vendor standards from time to time. Any changes that apply to the vendor will be communicated to the vendor as applicable and will apply prospectively, unless otherwise required by law or expressly provided in an applicable written agreement. 15.) No Authorization to Perform Services - Approval as an SCSI vendor does not authorize the vendor to commence or perform services for SCSI or its customers. Services may only be performed pursuant to a separate written contract, service schedule, purchase order, work authorization, or other written authorization issued or executed by SCSI, as applicable. Vendor approval alone does not create an obligation for SCSI to assign work or compensate the vendor for services performed without the required written authorization.
